These Terms and Conditions explain the rules for using IRefer Club, including business listings, subscriptions, user-submitted content, payments, cancellations, platform limits and legal responsibilities.

By accessing IReferClub.com, submitting business information, creating a listing, using our services, or continuing to use the website, you agree to these Terms and Conditions.

1. About IRefer Club

IRefer Club is an online business visibility service built to help small businesses organize public information about who they are, what they do, where they serve, and how customers can reach them.

IRefer Club may provide business listings, visibility pages, structured business information, service-area descriptions, links, photos, search-supporting content, AI-assisted drafting support, software-supported workflows and related online visibility services.

IRefer Club is not Google, Bing, Apple Maps, Facebook, Instagram, LinkedIn, TikTok, ChatGPT, Gemini, Perplexity or any other third-party platform. We cannot control how third-party platforms display, index, rank, summarize, recommend or use business information.

2. Acceptance of These Terms

By using IRefer Club, you confirm that you are legally able to enter into this agreement and that you have authority to submit information on behalf of the business, organization or individual professional being listed.

If you do not agree with these Terms and Conditions, you should not use the website, submit business information, purchase a subscription or continue using IRefer Club services.

3. Our Services

IRefer Club provides online visibility support for businesses and professionals. This may include creating or publishing business listings, organizing business information, writing service descriptions, adding public links, describing service areas and presenting information in a way that is useful to customers and search systems.

Our services are designed to support online presence. They are not a guarantee of search rankings, traffic, leads, sales, phone calls, bookings, customers, media coverage or business results.

IRefer Club may update, adjust, improve, remove, pause or change features, pages, listings, workflows, pricing, service descriptions or platform functionality at any time.

4. No Ranking or Customer Guarantee

IRefer Club helps support online search presence. We cannot guarantee page one rankings, new customers, phone calls, bookings, sales, AI recommendations, Google visibility, Maps visibility or specific outcomes on platforms we do not own.

Search engines, maps, AI tools, social platforms and online directories use their own systems, rules, policies and ranking methods. Those systems can change without notice.

Any examples, explanations, audits, visibility discussions, page improvements or search-supporting recommendations are provided for general business visibility support only and should not be understood as guaranteed results.

5. User-Submitted Business Information

You are responsible for the accuracy, legality and completeness of the information you submit to IRefer Club. This may include business names, contact information, service descriptions, service areas, links, images, logos, social media profiles, booking links, website links, Google Business Profile links and any other content you provide.

You agree that you will not submit false, misleading, unlawful, defamatory, infringing, abusive, discriminatory, adult, harmful, unsafe or unauthorized content.

You also confirm that you have the right to provide any images, logos, text, links or business information submitted to IRefer Club.

6. Review, Editing and Removal Rights

IRefer Club may review, edit, decline, pause, remove or refuse to publish any listing or content at our discretion. We may make reasonable wording, formatting, grammar, layout, SEO, GEO, AIO, REG, RAG clarity, safety or compliance edits to submitted information.

We are not required to monitor all user-submitted information, but we may act if content appears inaccurate, unsafe, inappropriate, misleading, harmful, unlawful, outdated or inconsistent with the purpose of IRefer Club.

7. Subscriptions, Payments and Billing

Some IRefer Club services are offered as paid subscriptions. Subscription pricing, billing frequency, included services and available features may be shown on the website, checkout page, invoice, onboarding form or related payment page.

By purchasing a subscription, you authorize the applicable payment processor to charge your payment method according to the selected plan. You are responsible for keeping payment information current and for paying all applicable fees, taxes or charges.

If a payment fails, IRefer Club may pause, limit, remove or cancel the related service or listing until payment is resolved.

8. Cancellations and Refunds

You may cancel a recurring subscription according to the cancellation method provided by IRefer Club or the applicable payment processor. Cancellation stops future billing but does not automatically create a refund for past payments.

Unless otherwise stated in writing, subscription fees already paid are non-refundable once work has begun, a listing has been created, a page has been prepared, or services have been made available.

IRefer Club may consider refund requests case by case, but we are not required to provide refunds except where required by applicable law.

9. Customer Responsibilities

You are responsible for reviewing your listing and notifying IRefer Club if information is incorrect, outdated or should be changed. You are also responsible for maintaining your own business operations, licenses, insurance, professional obligations, customer service, advertising, pricing, warranties and legal compliance.

IRefer Club does not verify every claim made by a business and does not guarantee that any listed business is licensed, insured, certified, available, qualified or suitable for a customer’s needs.

10. Third-Party Links and Platforms

IRefer Club listings may include links to third-party websites, booking tools, social media platforms, Google Business Profiles, maps, review platforms, payment pages or other external resources.

We do not own or control those third-party platforms. We are not responsible for their content, availability, accuracy, privacy practices, policies, ranking systems, recommendations, technical issues or business decisions.

11. Intellectual Property

IRefer Club owns or controls the website design, page structures, written frameworks, service descriptions, branding, layout, software-supported workflows and original content we create, except for content supplied by users or third parties.

By submitting content to IRefer Club, you grant us permission to use, edit, format, publish, display, distribute and promote that content as needed to provide the service.

You retain ownership of content you lawfully own, such as your business name, logo, photos, descriptions or links, subject to the permission you grant us to use that content for IRefer Club services.

12. Acceptable Use

You agree not to misuse IRefer Club, interfere with the website, attempt unauthorized access, submit harmful code, scrape the website without permission, impersonate another person or business, submit fraudulent information, or use the service for unlawful, harmful or abusive purposes.

IRefer Club may suspend or remove access, listings or services if we believe these terms have been violated.

13. Limitation of Liability

To the maximum extent permitted by law, IRefer Club, its founders, owners, employees, contractors, partners and service providers will not be liable for indirect, incidental, special, consequential, punitive or business-related damages, including lost profits, lost revenue, lost data, lost rankings, lost customers, lost opportunities or platform changes.

IRefer Club’s total liability for any claim related to the service will be limited to the amount paid by you to IRefer Club for the service giving rise to the claim during the three months before the claim arose, unless a different limit is required by applicable law.

14. Indemnification

You agree to indemnify and hold harmless IRefer Club, its founders, owners, employees, contractors, partners and service providers from claims, losses, damages, costs, legal fees or expenses arising from your submitted content, your business activities, your use of the service, your violation of these terms, or your violation of another person’s rights.

15. Privacy

Use of IRefer Club is also subject to our Privacy Policy. The Privacy Policy explains how we may collect, use and handle personal information and business information connected to the website and services.

16. Changes to These Terms

IRefer Club may update these Terms and Conditions from time to time. Updated terms may be posted on this page with a new updated date.

Continued use of the website or services after changes are posted means you accept the updated Terms and Conditions.

17. Governing Law

These Terms and Conditions are governed by the laws of the Province of Ontario and the applicable laws of Canada.

If any part of these terms is found to be invalid or unenforceable, the remaining sections will continue to apply.
