This is a private-gate offering for established agencies to leverage our proprietary indexing infrastructure. This agreement provides high-level access to the engine that powers the shift from traditional search to AI-driven selection.
THE LICENSING STRUCTURE
White-Label Utility. Private Integration.
This license is designed for professionals who require elite digital anchoring for their client portfolios without the overhead of traditional SEO agencies.
- Non-Exclusive Access: This license is non-exclusive. IRefer Club maintains the right to license this technology to other qualified partners and to operate its own primary platforms.
- White-Label Deployment: Resellers may integrate the output of the engine into their own service offerings, provided they adhere to the Branding Restrictions outlined below.
- Agile Billing: Access is granted on a weekly basis to match the speed of modern digital scaling.
BRANDING & INTELLECTUAL PROPERTY RESTRICTIONS
Protect the Core.
While you are granted the right to use the technical output of the engine, you are strictly prohibited from using IRefer Club’s proprietary trademarks, brand names, or marketing terminology.
Prohibited Branding:
The Reseller shall not use, brand, or market their services using the following terms:
- C.A.I.T.L.Y.N. (or any variation of the acronym)
- Digital Handshake
- Be Found. Be Chosen. (or "Get Found. Be Chosen.")
- IRefer Club
The Reseller is responsible for developing their own unique brand identity, marketing language, and consumer-facing terminology. You are licensing the Engine, not the Brand.
THE AGREEMENT: TERMS & CANCELLATION
Licensing Fee:
- $850.00 (CAD) per week.
- Recurring Charge: Automated weekly billing.
- Contract Term: No long-term commitment required.
Cancellation Protocol:
- Notice: A two-week (14-day) written notice via email is mandatory for termination.
- Finalization: Once notice is received, two final weekly payments will be processed, after which access to the infrastructure will be revoked.
LEGAL TERMS: ACCESS VS. OWNERSHIP
- Ownership Rights: All Intellectual Property, including the source code, algorithmic logic, and the "Digital Handshake" framework, remains the 100% exclusive property of IRefer Club.
- Right to Use: The Reseller is granted a temporary, revocable, non-exclusive license to access the utility.
- Revocation: Upon termination of this agreement, the Reseller loses all rights to access the engine. All active indexing facilitated through the license may be subject to de-provisioning upon the cessation of payments.
- Control: IRefer Club maintains absolute administrative control over the infrastructure to ensure global grid integrity. Any attempt to reverse-engineer or "scrape" the proprietary logic will result in immediate termination without refund and potential legal action.

By processing the first weekly payment, you acknowledge that you have read and agreed to the non-exclusive nature of this license and the strict branding prohibitions.
